Authority is the right to influence what others do and hence an acknowledged duty to obey rather than on any form of coercion or manipulation. A governance operating model is the framework used by the board and management to translate the elements of the governance framework and policies into practices, procedures, and job responsibilities within the corporate governance infrastructure.
